$12 billion new giant born: Thoma Bravo plans to merge its Auctane and WWEX to create a new shipping technology "trust"

Bloomberg News has learned that, according to sources familiar with the matter, the world’s leading private equity investment firm Thoma Bravo is finalizing a major deal to merge its e-commerce logistics software giant Auctane with the upcoming acquisition of third-party logistics platform WWEX Group. The deal is valued at approximately $5 billion and aims to create a shipping technology giant worth up to $12 billion by deeply integrating both companies’ software assets and physical logistics networks.

In terms of funding structure and deal details, Thoma Bravo has demonstrated strong financial strength to support this large-scale integration. Reports indicate that the firm is raising about $5 billion in private debt financing, with Blackstone Group expected to be the main lender. Additionally, Thoma Bravo plans to inject around $500 million in new equity into the combined entity to ensure sufficient cash flow for future market expansion.

It is understood that the deal is now in the final stages of negotiation. If no major obstacles arise, both parties could announce this significant strategic restructuring as early as this Tuesday. Thoma Bravo, WWEX Group, and Auctane representatives have all declined to comment.

According to a report from December last year, Thoma Bravo was then engaged in substantive negotiations to acquire WWEX Group and facilitate its merger with Auctane (formerly Stamps.com). As Thoma Bravo’s core asset since its privatization in 2021, Auctane owns well-known e-commerce shipping software such as ShipStation and has long been a leader in shipping software services.

WWEX Group, composed of Worldwide Express, GlobalTranz, and Unishippers, has a large physical network in parcel delivery and less-than-truckload (LTL) freight brokerage. The combination of the two will connect the entire chain from online order software to offline transportation execution, achieving the strategic goal of “software and hardware integration.”

This merger marks a new stage of vertical integration in the shipping logistics industry. If the deal is completed, Thoma Bravo will integrate two logistics and transportation technology companies headquartered in Texas at a time when artificial intelligence is rapidly reshaping the industry—helping companies reduce costs through automated warehouses and backend operations, while also improving demand forecasting.

From an industry strategy perspective, Thoma Bravo aims to address the increasingly complex e-commerce logistics demands through this merger and leverage AI technology to optimize supply chain transparency and operational efficiency. This end-to-end integration model will not only provide one-stop logistics solutions for startups and large industrial clients but also significantly reduce operating costs through economies of scale. As of now, the deal is in the final negotiation stage, and once finalized, it will be one of the largest mergers and acquisitions in the shipping technology sector in recent years.

Thoma Bravo describes itself on its website as the world’s largest software-focused investment firm, managing over $181 billion in assets, with a portfolio that includes more than 75 companies.

Notably, in recent weeks, private equity firms investing in software have faced a passive market, with concerns that AI tools developed by companies like Anthropic PBC and OpenAI could permanently disrupt traditional business growth models. In response, Anthropic CEO Dario Amodei stated that the company is willing to collaborate with mature software firms rather than replace them.
