This decision, made at the corporate governance level, was announced to the public by Strategic Director Dylan LeClair. At the relevant shareholders’ meeting, proposals to use various capital instruments to support the Bitcoin purchase strategy were officially approved. These steps demonstrate the company’s long-term commitment to crypto assets.

Significant Changes in Capital Structure

The board of directors approved expanding the issuance authority limits for Class A and B shares to create attractive shares. Additionally, a variable interest rate mechanism and a quarterly dividend distribution system are planned. These arrangements aim to increase return potential for investors while strengthening the company’s capital base.

Attracting Global Capital with Attractive Shares

The company intends to attract international institutional investors to its portfolio through attractive shares. A call option at 130% and a sale option mechanism have been set up for Class B preferred shares. These conditions will become active if the public offering process is delayed or canceled. Furthermore, the sale of Class B shares to large-scale foreign investment funds and institutional structures has also received preliminary approval from the board of directors.
